1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Compliable, Inc. ("Compliable," "we," "us," or "our"), located at 7104 Madison St., North Bergen, NJ 07047, governing your access to and use of the compliable.org website and all related services, products, and applications (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

• Automated accessibility remediation tools (Ally)
• Accessibility scanning and auditing services (Radar)
• Developer accessibility tools (Remedy)
• VPAT documentation services
• Expert accessibility audits and user testing
• Litigation support services

Our Services are designed to help website owners improve the accessibility of their digital properties and work toward compliance with accessibility standards such as WCAG 2.2, ADA, EAA, and Section 508.

3. Account Registration

To access certain features of our Services, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

4. Subscription and Payment

4.4 Price Changes: We may modify our pricing with 30 days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

5. Free Trial

We may offer free trials of our Services. At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial ends. We reserve the right to limit free trial eligibility.

7.3 Feedback: Any feedback, suggestions, or ideas you provide about the Services may be used by us without any obligation to you.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

COMPLIABLE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT GUARANTEE THAT OUR SERVICES WILL ACHIEVE FULL LEGAL COMPLIANCE WITH ANY SPECIFIC ACCESSIBILITY STANDARD OR REGULATION.

Our accessibility solutions are designed to help improve website accessibility, but no automated solution can guarantee complete compliance with all accessibility requirements. Manual testing and expert review may be necessary to achieve full compliance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPLIABLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Compliable and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another party.

11. Termination

11.1 By You: You may terminate your account at any time by contacting us or using the account settings. Termination will take effect at the end of your current billing period.

11.2 By Us: We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. We will provide notice when reasonably practicable.

11.3 Effect of Termination: Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination will survive.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in Hudson County, New Jersey.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the new Terms.

14. Miscellaneous

14.1 Entire Agreement: These Terms, together with our Privacy Notice and Cookie Policy, constitute the entire agreement between you and Compliable regarding the Services.

14.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

14.4 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
